ASTM License Agreement

IMPORTANT - PLEASE READ THESE TERMS CAREFULLY BEFORE ENTERING THIS ASTM PRODUCT.
By purchasing a subscription and clicking on this agreement, you enter into the agreement and acknowledge that you have read this License Agreement, understand it, and agree to its terms. 1. Property:
This product is copyrighted both as a compilation and as individual standards, articles and/or documents ("Documents") by ASTM ("ASTM"), 100 Barr Harbor Drive, West Conshohocken, PA 19428-2959 USA, except cases clearly stated in the text of individual documents. All rights reserved. You (the Licensee) have no ownership or other rights to the ASTM product or documents. This is not a sale; all right, title and interest in the ASTM product or documents (whether in electronic or paper form) shall vest in ASTM. You may not remove or obscure any copyright or other information contained in the Product or ASTM documents.

2. Definitions.

A. Types of license holders:

(i) Individual User:
one unique computer with an individual IP address;

(ii) One location:
one geographical place or several places within one city that are part of one central administrative organizational unit; for example, different centrally managed campuses of the same university in the same city.

(iii) Multiple locations:
an organization or company with independent management of multiple locations in one city; or an organization or company located in more than one city, state or country, with central administration for all locations.

B. Authorized Users:
any natural person who has subscribed to this product; if the location license also includes registered students, faculty or staff members or employees of the Licensee at one or more locations.

3. Limited License.
ASTM grants Licensee a limited, revocable, non-exclusive, non-transferable license to access through one or more authorized IP addresses and subject to the terms of this Agreement, the permitted uses described below for each ASTM Product to which Licensee subscribes.

A. Special Licenses:

(i) Individual User:

(A)the right to browse, search, download, view and browse the Products;

(B)the right to download, store or print individual copies of individual documents or parts of such documents solely for the licensee's own use. This means that the Licensee may access and download an electronic file of the Document (or part thereof) for temporary storage on one computer for viewing and/or printing one copy of the Document for individual use. Neither the electronic file nor any printout may be reproduced in any way. Furthermore, the electronic file may not be distributed elsewhere via computer networks or otherwise. This means that the electronic file cannot be emailed, downloaded to a hard drive, copied to another hard drive, or otherwise made available. One hard copy may be distributed to others for internal use within your organization only; cannot be copied. Individual downloads of the Documents may not be otherwise sold or resold, rented, leased, loaned or sublicensed.

(ii) Single-site and multi-site licenses:

(A)the right to browse, search, download, view and browse the Products;

(B)the right to download, store or print individual copies of individual documents or parts of such documents for the Authorized User's personal use and to make such copies available to other Authorized Users of the Licensee on the Licensee's computer network;

(C)in the case of an educational institution, the Licensee may give printed copies of individual documents to individual students (Authorized Users) in classes at the Licensee's location;

(D)the right to display, download and distribute paper copies of the Document for the purpose of training Authorized Users or groups of Authorized Users.

(mi)Licensee shall undertake all necessary authentication and verification procedures to ensure that only authorized users have access to the ASTM Product.

(F)Licensee shall provide ASTM with a list of authorized IP addresses (IP Domain Number Addresses) and, in the case of Multi-Site, a list of authorized sites.

B. Prohibited Uses.

(and)This License describes all permitted uses. Any other use is prohibited, constitutes a violation of this Agreement, and may result in the immediate termination of this License.

(ii)The Authorized User may not make this Product or Documents available to anyone other than another Authorized User, either through an Internet connection or by allowing access through their terminal or computer; or other similar or different means or arrangements.

(iii)In particular, no one is authorized to transmit, copy or distribute any Document in any way or for any purpose, except as provided in Section 3 of this License, without the express prior written consent of ASTM. In particular, except as provided in Section 3, no person shall, without the prior express written consent of ASTM: (a) distribute or transmit a copy (electronic or otherwise) of any article, file or material derived from any ASTM product or document; (b) reproduce or copy any standards, articles, files or materials from any ASTM product; (c) alter, modify, adapt, or translate any standards, articles, files, or materials derived from any ASTM product; (d) incorporate any standards, articles, files, or materials derived from any Product or ASTM Document into other works or otherwise create derivative works from any material derived from any Product or ASTM Document; (e) charge any fee for a copy (electronic or otherwise) of any standard, article, file or material derived from any product or ASTM document, other than normal printing/copying costs, if such reproduction is permitted under Section 3; or (f) systematically download, archive, or centrally store a substantial portion of the standards, articles, files, or materials derived from any ASTM product or document. Inclusion of hard or electronic copies in course packages or electronic reserves or for use in distance learning is not permitted by this License and is prohibited without the prior written approval of ASTM.

(iv)Licensee may not use the Product or access the Product for commercial purposes, including but not limited to the sale of documents, materials, use of the Product for a fee, or mass reproduction or distribution of documents in any form; Licensee may also not impose special fees on Authorized Users for use of the Product other than reasonable printing or administrative costs.

C. Copyright Notice. All copies of ASTM product materials must bear the appropriate copyright notice in the name of ASTM as shown on the title page of each standard, article, file, or material. Covering, removing or altering the copyright notice is not permitted.

4. Disclosure of Prohibited Use.

A.Licensee is responsible for taking reasonable measures to prevent unauthorized use and for promptly notifying ASTM of any copyright infringement or prohibited use of which Licensee becomes aware. Licensee shall cooperate with ASTM in investigating any such prohibited use and shall take reasonable steps to ensure that such activity ceases and to prevent recurrence.

B.Licensee shall use reasonable efforts to protect the Product from any use inconsistent with this Agreement and shall notify ASTM of any use of which Licensee becomes aware or notified.

5. Permanent access to the product.
ASTM reserves the right to terminate this License upon written notice if Licensee materially breaches the terms of this Agreement. If Licensee fails to pay ASTM any license or subscription fees on time, ASTM will give Licensee 30 days to cure such breach. There is no recovery period for significant violations related to violations of Section 3 or any other violations that may cause irreparable harm to ASTM. If Licensee's subscription to an ASTM product is terminated, further access to the online database will be blocked. If Licensee or authorized users materially violate this License or otherwise make prohibited use of material contained in any ASTM Product, ASTM reserves the right to deny Licensee access to the ASTM Product, in its sole discretion.

6. Forms of delivery and services.

A.Some ASTM products use the standard web HTML format. ASTM reserves the right to change such format upon three [3] months' notice to Licensee, although ASTM will make reasonable efforts to use commonly available formats. Licensee and authorized users are responsible for obtaining, at their own expense, the appropriate Internet connections, web browsers, and software licenses necessary to view ASTM products.

B.ASTM products are also available in Adobe Acrobat (PDF) format to Licensee and its authorized users, who are solely responsible for installing and configuring the appropriate Adobe Acrobat Reader software.

C.ASTM will make reasonable efforts to ensure that Internet access is continuously available. Availability will be subject to occasional interruptions and downtime due to server maintenance, software installation or testing, uploading of new files, and causes beyond ASTM's control. ASTM does not guarantee access and is not responsible for damages or refunds if the product is temporarily unavailable or if access becomes slow or incomplete due to system backup procedures, Internet traffic, updates, overloaded server requests, general network outages or delays, or any other reason which may cause the product to be unavailable from time to time to the licensee or its authorized users.

7. Terms and fees.

A.The duration of this Agreement is ______________ ("Subscription Period"). Access to the product is only possible during the Subscription Period. This Agreement is valid for successive Subscription Periods subject to payment of annual Subscription Fees, which may change from time to time. Licensee and/or ASTM may terminate this Agreement at the end of the Subscription Period upon at least 30 days' written notice.

8. Verification.
ASTM shall have the right to verify compliance with this Agreement at its own expense and at any time during normal business hours. To this end, ASTM will engage an independent consultant, subject to a confidentiality agreement, to review Licensee's use of the Products and/or ASTM Documents. You agree to allow access to your information and computer systems for this purpose. The inspection will be carried out with a notice of at least 15 days in advance, during normal working hours and in a manner that does not unduly disrupt the business of the licensee. If verification reveals unlicensed or prohibited use of the product or ASTM documents, Licensee agrees to reimburse ASTM for costs incurred during the verification and to reimburse ASTM for any unlicensed/prohibited uses. By invoking this proceeding, ASTM is not waiving any of its rights to enforce this Agreement or to protect its intellectual property by any other means permitted by law. Licensee acknowledges and agrees that ASTM may embed certain identifying or tracking information into ASTM products available on the Portal.

9. Passwords:
Licensee must immediately notify ASTM of any known or suspected unauthorized use of its password(s) or of any known or suspected breach of security, including loss, theft, unauthorized disclosure of such password, or any unauthorized access or use ASTM products. Licensee is solely responsible for maintaining the confidentiality of its passwords and for providing authorized access to and use of ASTM Products. Personal accounts/passwords cannot be shared.

10. Disclaimer of warranty:
Except as otherwise provided in this Agreement, all express or implied conditions, representations and warranties, including all implied warranties of merchantability, fitness for a particular purpose or non-infringement, are excluded, except to the extent these disclaimers are deemed to be legally binding. .

11. Limitation of liability:
To the extent not prohibited by law, in no event shall ASTM be liable for any loss, damage, lost data or for any special, indirect, consequential or punitive damages, regardless of liability, arising out of or related to with the use of ASTM. Product or download ASTM documents. In no event shall ASTM's liability exceed the amount paid by Licensee under this License Agreement.

12. General.

Solution:
This Agreement is effective until terminated. Licensee may terminate this Agreement at any time by destroying all copies (whether on paper, digital or any medium) of the ASTM Documents and ceasing all access to the ASTM Product.

B. Governing law, place and jurisdiction:
This Agreement shall be construed and interpreted in accordance with the laws of the State of Pennsylvania. Licensee agrees to submit to the jurisdiction and venue of the courts of the State of Pennsylvania and the federal courts for all disputes that may arise in connection with this Agreement. Licensee also agrees to waive any immunities to which it may be entitled.

C. Integration:
This Agreement constitutes the entire agreement between Licensee and ASTM with respect to its subject matter. It supersedes all prior or contemporaneous oral or written communications, proposals, representations and warranties and supersedes any conflicting or additional terms of any offer, order, confirmation or other communication between the parties relating to the subject matter during the term of this Agreement. No modification of this Agreement shall be binding unless made in writing and signed by an authorized representative of each party.

D. Task:
Licensee may not assign or transfer its rights under this Agreement without the prior written consent of ASTM.

E. Data.
Licensee must pay all applicable taxes, other than taxes on ASTM net income, arising from Licensee's use of ASTM Products and/or rights granted under this Agreement.
